Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Vizir Analytical website, demonstrations, communications, and any services that Vizir Analytical LLC ("Vizir Analytical," "we," "us," or "our") agrees to provide (collectively, the "Services"). By accessing the website or using the Services, you agree to these Terms.
These Terms apply to the public website and general business interactions. Where Vizir Analytical and a customer enter into a written agreement, statement of work, order form, or data-processing agreement, that written agreement controls over these Terms to the extent of any conflict.
1. Business use and authority
The Services are intended for business and professional use. By using the Services on behalf of an organization, you represent that you have authority to act for that organization and to agree to these Terms on its behalf.
2. Description and intended use
Vizir Analytical develops VIQMS, a controlled, evidence-linked decision-support platform for pharmaceutical quality operations. VIQMS may support the organization, assessment, routing, review, and drafting of information related to quality-system workflows.
The Services are decision-support tools. They do not replace qualified scientific, quality, regulatory, legal, or management judgment. They do not make batch-release decisions, approve investigations, determine product disposition, authorize CAPA closure, or issue regulatory determinations. Users remain responsible for reviewing outputs, evaluating source evidence, applying their procedures, and making all final decisions through appropriately authorized personnel.
3. No reliance without qualified review
Outputs may contain omissions, errors, uncertainty, or limitations. You must not rely on any output as the sole basis for a quality, regulatory, clinical, manufacturing, legal, or business decision. Before using an output in a regulated process, you are responsible for ensuring that it has been reviewed and approved by qualified personnel in accordance with your applicable procedures and obligations.
4. Customer responsibilities and content
You are responsible for the information, data, records, and materials you provide or make available in connection with the Services ("Customer Content"). You represent that you have all rights, permissions, and lawful authority necessary to provide Customer Content and to instruct Vizir Analytical to process it for the agreed purpose.
Unless otherwise agreed in writing, do not submit patient information, protected health information, confidential manufacturing records, batch data, investigation files, or other sensitive regulated content through public website forms or ordinary email. Customer-specific handling of such information, if applicable, must be addressed through an appropriate written agreement and secure transfer process.
5. Acceptable use
You agree not to:
- Use the Services for any unlawful, fraudulent, deceptive, or unauthorized purpose;
- Use the Services to process information you do not have the right to use or disclose;
- Represent an output as a final approved quality or regulatory determination when it has not undergone qualified review;
- Attempt to interfere with, disrupt, probe, reverse engineer, decompile, or gain unauthorized access to the Services, software, models, systems, or data;
- Use the Services to create or distribute content that violates applicable law or third-party rights; or
- Remove notices relating to intellectual property, confidentiality, or access restrictions.
6. Intellectual property
Vizir Analytical and its licensors retain all rights, title, and interest in the Services, including the website, software, workflows, documentation, designs, methods, models, and related intellectual property. Subject to these Terms and any applicable written agreement, Vizir Analytical grants no ownership interest in the Services.
Customer Content remains subject to the rights between the customer and Vizir Analytical established in the applicable written agreement. Nothing in these Terms transfers ownership of Customer Content to Vizir Analytical.
7. Confidentiality and customer agreements
Confidentiality, customer-data handling, security controls, retention, subprocessors, implementation scope, service levels, fees, and support commitments are governed by the applicable written agreement, if any. Where no written agreement exists, information shared through the public website or general email should not be treated as a secure channel for sensitive regulated content.
8. Availability and changes
We may modify, suspend, or discontinue any part of the website or Services at any time. We may also update features, workflows, documentation, or access requirements as our program evolves. We do not guarantee that the website or any Service will be continuously available, error-free, or suitable for every use case.
9. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." Vizir Analytical disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted availability.
Vizir Analytical does not warrant that outputs will be accurate, complete, suitable for a specific regulatory purpose, or accepted by any authority. Use of any output in a regulated environment remains subject to qualified review, your procedures, and your independent assessment of applicable requirements.
10. Limitation of liability
To the maximum extent permitted by law, Vizir Analytical will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, business opportunity, product, or regulatory outcome arising from or related to the Services.
For services governed by a written agreement, any limitation of liability stated in that agreement will apply. Where no written agreement applies, Vizir Analytical's aggregate liability for claims relating to the website or Services will not exceed one hundred U.S. dollars (US $100).
11. Indemnification
You agree to defend, indemnify, and hold harmless Vizir Analytical and its officers, members, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses arising from your Customer Content, your violation of these Terms, your unauthorized use of the Services, or your use of an output without required qualified review or authorization.
12. Termination
We may suspend or terminate access to the website or Services if we reasonably believe that you have violated these Terms, created a security risk, or used the Services in a manner that could create legal, regulatory, operational, or reputational harm. Termination of a customer relationship will be governed by the applicable written agreement where one exists.
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. The Delaware Limited Liability Company Act is codified in Title 6, Chapter 18 of the Delaware Code. citeturn109130search1
14. Changes to these Terms
We may revise these Terms from time to time. The revised Terms will be posted on this page with an updated effective date. Your continued use of the website or Services after revised Terms take effect constitutes acceptance of the revised Terms.
